1 Title

This notice is the Financial Markets Conduct (NZX Main Board/Debt Market Listing Rules) Approval of Rule Change Notice 2017.

2 Commencement

This notice comes into force on 8 May 2017.

3 Interpretation

(1) In this notice, unless the context otherwise requires, -

Act means the Financial Markets Conduct Act 2013
Listing Rules means the NZX Main Board/Debt Market Listing Rules
NZX means NZX Limited
Regulations means the Financial Markets Conduct Regulations 2014

(2) Any term or expression that is defined in the Act or the Regulations and used, but not defined, in this notice has the same meaning as in the Act or the Regulations.

4 Approval of rule change

Pursuant to section 331 of the Act, the Financial Markets Authority approves changes to the Listing Rules provided by NZX to the FMA for approval on 10 March 2017.

Explanatory Note

This note is not part of the notice, but is intended to indicate its general effect.

This notice approves changes to the NZX Main Board/Debt Market Listing Rules (Listing Rules) that were provided to the Financial Markets Authority by NZX Limited (NZX) for approval on 10 March 2017. These changes will be incorporated into the Listing Rules at a future date to be determined by NZX.

The changes approved are:

• a new NZX Corporate Governance Code that will replace the existing Appendix 16 to the Listing Rules;
• changes to Listing Rule 10.4.5 necessary to bring the NZX Corporate Governance Code into effect;
• changes to references to the title of Appendix 16 within the Listing Rules; and
• the correction of a typographical error in Listing Rule 3.2.1(d).
